Accommodation Provider Terms and Conditions

Roomangel Registration Contract

These terms and conditions constitute a legal "contract" for the provision of an online accommodation booking service ("Service") between You and Roomangel Limited ("We", "Us"). Please read this contract carefully. Registration and use of the service indicates your unconditional acceptance of the terms and conditions set out in this contract. If You do not agree to these terms and conditions, do not use the Service.

THE PARTIES AGREE AS FOLLOWS:

Our Service

As part of the Service, We will act as Your agent to promote Your accommodation establishment(s) and transact reservations. In doing so:

We will work with You to collect information and train You in the procedures aimed to increase reservations to Your accommodation establishment;

Arrange for appropriate details of Your accommodation establishment(s) ("Information") as supplied by You, subject to Our approval, to be included and maintained on and with such websites and agencies ("Sites") as We consider appropriate for the purpose of driving bookings for Your accommodation establishment:

We will provide You with either an on-line service for the collection of guest payment details for you to process in-house or a facility to arrange for payment by cheque whichever choice is most suited to the individual accommodation provider;

We shall introduce new features and special offers from time to time in order to try and increase bookings to Your accommodation establishment and to make the Service more efficient;

We reserve the right to amend information or cancel this Contract should we deem the Content/Customer to be unsuitable for any reason. Should this occur We will accept no responsibility for any costs incurred by You.

Your Obligations

You will ensure that, to the extent that it is within your reasonable control, the Information displayed on the Sites is accurate and up to date at all times, including prices, details on room availability and all other relevant property information. We will be using this Information to drive bookings to Your accommodation establishment. If the Information You provided is wrong or misleading, You agree to indemnify Us against any loss, liability or costs incurred by Us however arising as a result of Your failure to comply with this obligation. Neither we nor our business partners can accept responsibility for any incorrect or over-bookings which result from Your failure to update the Sites. We will refer any disputes or complaints relating to the guests stay at your accommodation establishment to You for resolution.

In the event of an incorrect or over-booking caused by Your failure to comply with the above obligation, You shall find the guest alternative accommodation of equal or better standard than the original accommodation establishment, provide complimentary transport to and from the new lodgings and make good any variations in the rates charged by the new lodgings.

You will ensure that Your User ID and password are kept confidential as We will not be held responsible for any improper use of such.

Payments and Schedules

You agree pay to Us a commission ("Commission") of £1 per room per night booked for any reservations that are transacted using the Service in accordance with this contract.

We shall within ten days after the end of each month make available to You an online statement showing the revenues received by You and Us from guests booking accommodation establishment rooms using the Service and the Commission due to Us during that month.

Commission for each booking is invoiced with effect from the end of the calendar month containing the departure date of the visit and is payable within 30 days.

All Commission payable by You to Us under this contract are exclusive of any applicable value added and sales tax for which you will be liable.

If any sums due under this contract are not paid on the due date, we reserve the right to charge you interest on the amount outstanding at a rate of 2% per annum above the Lloyds TSB Plc base rate from the due date until the date of actual payment. If any sums remain unpaid after the due date, We reserve the right to suspend the Service until such time as such sums are paid in full.

Overdue accounts will be passed to our Debt Collection Department and the Customer agrees to pay their costs as required and all costs, including interest pursuant, incurred to recover the total monies due. Our Debt Collection charges are as follows: Reminder Letters £5, Telephone calls £1 per minute, Notice of Summons letter £10, Issue of Summons £30 plus Court Fee.

Intellectual Property Rights

You do not acquire any rights relating to Our trademarks, patents, database rights and copyright relating to the Service other than as expressly set out in this Agreement.

It remains Your sole responsibility to protect the copyright, trade marks and trade names contained in the Information.

Term and Termination

This Agreement will remain in effect until terminated by either party upon ninety (90) days prior written notice. However, You cannot terminate this Agreement for convenience within the first twelve (12) months of the commencement of this Agreement.

Disclaimer of Warranty

We will endeavour to provide a prompt and continuing service to the best of our ability. However it may, on occasions be necessary to close or suspend provision of any of the Services on the Sites for the purposes of repair, maintenance or development. Also, access to the Sites by guests or operation of any of the Services by You may be interrupted by circumstances beyond our control. We cannot accept responsibility (to the extent permitted by law) for any error, omission, interruption, defect, interruption or delay in operation or transmission or other failure to provide the Service and Sites. We will not be liable for any loss of data resulting from non-deliveries, delays, missed deliveries, or service interruptions caused by events beyond the control of Roomangel Limited, or by errors instigated by the customer. This contract contains the undertakings, express warranties, and obligations of Us. All other conditions, undertakings, obligations, and warranties of Us and all duties of care and all liabilities (if any) of Us arising there from are hereby wholly excluded. We exclude any warranty as to the accuracy or quality of information obtained through the service.

Limitation of Liability

In no event shall either party be liable for any indirect, special, incidental or consequential damages whether such damages are alleged as a result of tortuous conduct or breach of contract or otherwise even if the other party has been advised of the possibility of such damages. Such damages shall include but shall not be limited to the cost of removal and reinstallation of goods, loss of goodwill, loss of profits, loss of use of data, interruption of business or other economic loss.

In any event this agreement, the maximum liability of one party to the other in aggregate for all claims made against such other party in contract tort or otherwise under or in connection with this contract shall not exceed fifty percent of the commissions due by You to Us (if any) under this agreement in the twelve month period preceeding such claim. Nothing in this clause shall operate to exclude liability for death or personal injury resulting from either party's negligence.

Other Matters

It is the responsibility of the Customer to ensure that any content does not breach a third party copyright or contravene any Trades Description Act or relevant law.

No business-type shall have exclusivity on the website shown and Roomangel Limited reserve the right to incorporate any number of businesses on this website.

The schedule for insertion onto the internet is at the discretion of Roomangel Limited and this Contract is not subject to any date of insertion onto the internet.

Transfer of the Agreement: We may wish to transfer our rights or obligations under the Agreement to any legal entity. You agree that we may transfer our rights and obligations provided where we do so only the entity against whom you may assert your rights will be affected but not the scope of the rights themselves. You may not transfer your rights or obligations under the Agreement to anyone else.

Governing law: The Agreement is governed by English Law and we each agree that the Courts of England and Wales and any other United Kingdom Court that could lawfully deal with the case should have jurisdiction to hear any dispute or proceeding arising in relation to the Agreement.

We can accept no responsibility for the editorial content of the website shown and this Contract is not subject to the website containing any specific information or text matter. All information on this site is copyright to Us and/or its associated companies, providers or suppliers. The customer acknowledges that We are unable to exercise control over the material sent over the service and that We hereby excludes all liability of any kind for the receipt by the customer of offensive, threatening, or obscene material.

We cannot guarantee a specific position on the website and the positioning of such is random and entirely at our discretion.

The choice of Internet Service Provider is and will remain the choice of Roomangel Limited.

This is the only Agreement between You and Us relating to the Service. As We are continually improving the Service, this may necessitate changes to the terms and conditions of this Agreement. We will provide You with thirty (30) days prior notice of any such changes. If any such changes are not acceptable to You, You must let Us know during the thirty (30) day period, otherwise You will be deemed to have accepted such changes.

Each party will ensure that the requirements of the Data Protection Act 1998 and any other relevant legislation are met in performing our obligations under this Agreement.

You acknowledge that the Service contains confidential and highly sensitive material. You therefore agree to maintain in confidence any such confidential information and apply security measures no less stringent than the measures which You apply to protect Your own like information, but not less than a reasonable degree of care, to prevent unauthorised disclosure and use of the confidential information.
